Whitelabel & Reseller Agreement

This Agreement grants the Licensee/Reseller the right to use Blindersoe's proprietary Real-Time Plots & Apartment Management Software under a whitelabel and reseller arrangement. The software includes:

• Interactive Digital Layouts with 3D Visualization
• Real-time Plot & Apartment Inventory Management
• Agent & Customer Portal Systems
• Payment & Booking Management
• Advanced Sales Analytics & Reporting
• Commission Tracking System

Data Management

• Data Ownership: Client data belongs to the respective end customer, but is managed by Blindersoe's infrastructure
• Data Portability: Data export facilities available in standard formats (CSV, Excel, API)
• Data Security: SOC 2 compliant infrastructure with encrypted storage and transmission
• GDPR Compliance: Full compliance with data protection regulations
• Data Retention: Data retained for 12 months post-termination unless specifically requested for deletion

• Blindersoe retains full administrative access to all software instances
• Partners receive admin panel access for customer management and configuration
• No restriction of access to Blindersoe for maintenance, updates, or support
• Any disruption to Blindersoe's access constitutes material breach
• Partners may not deny or restrict Blindersoe's access under any circumstances

• All intellectual property rights remain exclusively with Blindersoe
• Whitelabel branding does not transfer any ownership rights
• No reverse engineering, decompilation, or source code extraction permitted
• Partners may not modify core software functionality
• No third-party modifications allowed without written consent
• Partners obtain limited usage rights, not ownership or development rights

Sales & Marketing Rights

• Exclusive territory rights may be granted based on performance and commitment
• Marketing materials and sales collateral provided by Blindersoe
• Lead qualification and technical demonstrations supported by Blindersoe team
• Customized pricing for enterprise deals subject to approval

Performance Targets

Support & Training

• Comprehensive product training for partner sales teams
• Technical support during sales presentations
• Customer onboarding assistance
• Regular product updates and feature training

• All updates, maintenance, and enhancements provided by Blindersoe
• No third-party modules or plugins permitted without approval
• 24/7 technical support for critical issues
• Regular feature updates and security patches
• Scheduled maintenance windows with advance notice

• Strict confidentiality of software functionality and architecture
• No sharing of internal logic, workflows, or documentation
• Non-disclosure of pricing models to competitors
• Customer data confidentiality and privacy protection
• Trade secrets and proprietary information protection

Termination Conditions

• Either party may terminate with 90 days written notice
• Immediate termination for material breach of agreement
• Automatic termination for non-payment after 30 days notice
• Performance-based termination if targets not met consistently

Post-Termination

• Customer data migration assistance for 30 days
• Gradual transition period for existing customers
• Final revenue reconciliation within 45 days
• Return of all confidential information and materials

Blindersoe's liability is limited to the amount of fees paid in the 12 months preceding the claim. No liability for indirect, consequential, or punitive damages. Force majeure clauses apply for circumstances beyond reasonable control.

This Agreement is governed by Indian law. Exclusive jurisdiction of courts in Kurnool, Andhra Pradesh. All disputes subject to mediation before litigation. English language version prevails in case of translation disputes.
